{"id":2666,"date":"2026-02-23T11:29:18","date_gmt":"2026-02-23T11:29:18","guid":{"rendered":"https:\/\/alrashidi.law\/?p=2666"},"modified":"2026-05-06T12:54:29","modified_gmt":"2026-05-06T12:54:29","slug":"the-anti-commercial-concealment-law","status":"publish","type":"post","link":"https:\/\/alrashidi.law\/en\/the-anti-commercial-concealment-law\/","title":{"rendered":"The Anti-Commercial Concealment Law"},"content":{"rendered":"<p><span style=\"font-weight: 400;\">In light of the spread of commercial concealment acts and the multiplicity and diversity of its forms (1), the Kingdom has been concerned with combating the crime of commercial concealment due to its significant impact on the national economy, as it leads to disruption of the distribution of resources through unfair competition and to an increase in the unemployment rate, in addition to the increase in illegal operations in light of unregulated commercial activities, as these companies often evade taxes (2), which would affect economic development. Therefore, the Kingdom has been keen to put in place many decisions, instructions and regulations to confront this crime and put in place the controls that govern it to eliminate the economic ambiguity left by the crime of commercial concealment. It has issued several regulations in this regard, the latest of which is the Anti-Commercial Concealment Law issued by Royal Decree No. (M\/4) dated 1\/1\/1442 AH.<\/span><\/p>\n<h2><b>The Meaning of Commercial Concealment<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Scholars have defined commercial concealment as a hidden contract or arrangement between two parties in which a Saudi national or a resident legally permitted to engage in commercial activities allows a foreign person\u2014whether natural or legal\u2014to use his name to carry out commercial activities that the law prohibits the foreigner from engaging in, for a particular purpose (3).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Meanwhile, the regulator defined it in Article (2) of the Anti-Commercial Concealment Law issued pursuant to Royal Decree No. (M\/4) dated 1\/1\/1442H as:<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">\u201cAn agreement or arrangement through which one person enables another non-Saudi person to engage in an economic activity in the Kingdom for which he is not licensed, using the license or approval issued to the concealer.\u201d<\/span><\/p>\n<h2><b>The Parties to the Crime of Commercial Concealment<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The crime of commercial concealment requires two parties: the concealer and the concealed person.<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>The concealer:<\/b><span style=\"font-weight: 400;\"> the person, natural or legal, who enables another to engage in the prohibited economic activity. The concealer may be a Saudi or a foreigner, as foreigners may also be granted licenses to engage in certain economic activities, although the concealer is often a Saudi national.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>The concealed person:<\/b><span style=\"font-weight: 400;\"> the person who practices the economic activity prohibited to him under the law, either because the activity is prohibited to him and others and no license may be issued for it, or because he does not hold a legal license to practice it. The concealed person may also be a natural or legal person (4).<\/span><\/li>\n<\/ul>\n<h2><b>Criminalized Forms of Commercial Concealment<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The regulator considers multiple forms to constitute crimes punishable by law:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A person enabling a non-Saudi to engage\u2014on his own account\u2014in an unlicensed economic activity in the Kingdom, including enabling him to use: his name, license, approval, commercial register, trade name, or similar documents.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A non-Saudi engaging in an unlicensed economic activity on his own account in the Kingdom through the person who enabled him.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Participation in committing either of the two crimes mentioned in paragraphs (a) and (b) of this Article. A partner in the crime includes anyone who incites, assists, or advises in its commission with knowledge thereof, whenever the crime is completed or continues based on such incitement, assistance, or advice.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Obstructing or preventing those charged with implementing the provisions of the Law from performing their duties by any means, including failure to disclose information or providing incorrect or misleading information (5).<\/span><\/li>\n<\/ol>\n<p><b>The following are also considered violations punishable under the Law:<\/b><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any establishment granting a non-Saudi, unlawfully, tools that lead to absolute control over the establishment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A non-Saudi unlawfully possessing or using tools that lead to absolute control over the establishment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The establishment using, in its dealings related to its economic activity, a bank account other than its own.<\/span><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">The Implementing Regulations specify the provisions related to this Article, taking into account cases where such granting of tools or possession thereof occurred in good faith (6).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">From the foregoing, it is clear that acts of commercial concealment are not of one degree of severity. Their consequences vary in nature, severity, and components, which necessitates variation in penalty\u2014precisely what the regulator has done as explained above (7).<\/span><\/p>\n<h2><b>Elements of the Crime of Commercial Concealment<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The crime of commercial concealment is composed of two elements: a material element and a moral (mental) element.<\/span><\/p>\n<h2><b style=\"font-style: inherit;\">The Material Element<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The material element consists\u2014according to the Law\u2014of the concealer enabling the concealed person to engage in an economic activity for which he is unlicensed, on his own account. Thus, the material element is not complete without the presence of several material components:<\/span> <span style=\"font-weight: 400;\">Enabling, Practicing, and Absence of authorization (lack of license).<\/span><\/p>\n<ul>\n<li><b>The First Component: Enabling<\/b><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Enabling may take one of two forms:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Enabling a non-Saudi to engage in an unlicensed economic activity on his own account in the Kingdom.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Enabling a non-Saudi to use the concealer\u2019s name, license, approval, or commercial register.<\/span><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">These two forms were stated in Article Three of the Anti-Commercial Concealment Law (8).<\/span><\/p>\n<p>Article Two of the Implementing Regulations clarifies the tools and methods that constitute enabling, stating:<\/p>\n<p><span style=\"font-weight: 400;\">\u201cWithout prejudice to the Foreign Investment Law and related laws, the following are considered tools that lead to absolute control over the establishment and may not be granted to an unlicensed non-Saudi, nor may he possess or use them unlawfully: any contractual or non-contractual arrangement or procedure that enables him to exercise the actions and enjoy the rights and powers granted to owners or partners of the establishment, as applicable. This includes:<\/span><\/p>\n<ol>\n<li><span style=\"font-weight: 400;\"> Revenues, profits, or contract proceeds of the establishment being transferred\u2014directly or indirectly\u2014to the non-Saudi\u2019s account instead of the establishment\u2019s account, including that he collects proceeds or returns from the sale, transfer of assets, or liquidation of the establishment on his behalf, or receives a variable financial return inconsistent with the nature of his duties, subject to employment contracts that entitle workers to a share of profits or revenues.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Financing the establishment or any of its economic activities.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Authority to appoint or dismiss the establishment\u2019s manager.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Possession of commercial papers or blank-signed documents\/contracts of the establishment.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Approving partner profit distributions and determining their method.\u201d<\/span><\/li>\n<\/ol>\n<ul>\n<li><b>The Second Component: Practicing<\/b><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Practice by the non-Saudi constitutes the second component and is set out in Article (3) of the Law.<\/span><\/p>\n<p>For practice to be established:<\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The practitioner must be a non-Saudi (natural or legal person),<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The activity must be unlicensed,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The practice must occur through enabling by the concealer, and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The practice must occur within the Kingdom (9).<\/span><\/li>\n<\/ol>\n<ul>\n<li><b>The Third Component: Absence of License<\/b><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Article (3)(a, b) of the Law states:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cIt shall constitute a crime punishable under the Law to commit any of the following:<\/span><\/p>\n<ol>\n<li><span style=\"font-weight: 400;\"> A person enabling a non-Saudi to engage\u2014on his own account\u2014in an unlicensed economic activity in the Kingdom, including enabling him to use: his name, license, approval, commercial register, trade name, or the like.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> A non-Saudi engaging\u2014on his own account\u2014in an unlicensed economic activity in the Kingdom through the enabler.\u201d<\/span><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">From the above, it is evident that either the non-Saudi himself is practicing an unlicensed economic activity, or the license exists only for the concealer, who allows the non-Saudi to use it.<\/span><\/p>\n<h2><b style=\"font-style: inherit;\">The Moral (Mental) Element<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The moral element takes the form of general criminal intent\u2014knowledge and will directed toward the material aspects of the crime. The crime of commercial concealment is an intentional crime; the accused must have known, at the time of commission, the facts and conduct of the incident, and his will must have been directed toward committing the act and achieving the result.<\/span><\/p>\n<h2><b>Proving the Crime<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Crimes and violations set out in the Anti-Commercial Concealment Law may be proven by all legally recognized means of proof, including electronic evidence (10).<\/span><\/p>\n<h2><b>Penalties<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The regulator prescribed penalties for crimes and violations under Chapter Four of the Law. Article Nine states:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cWithout prejudice to any penalty prescribed under any other law, anyone who commits any of the crimes stated in the Law shall be punished with imprisonment for a period not exceeding (five) years and a fine not exceeding (five million) riyals, or either of these penalties. When determining the penalty, regard shall be given to: the size of the economic activity subject to the crime, its revenues, the duration of the activity, and the consequences of the crime.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In case of recurrence, the penalties prescribed for the crimes under the Law shall be doubled. A person is deemed a recidivist if convicted by a final judgment of any of the crimes within (three years) from the date of the previous judgment.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The criminal court may reduce the penalties prescribed under the Law if the defendant, after the Ministry becomes aware of the crime, voluntarily provides evidence or information that could not otherwise have been obtained and that was relied upon to prove the crime.\u201d<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Article (14) of the Law also provides the penalty for violations:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cWithout prejudice to any penalty prescribed under any other law, anyone who commits any of the violations stated in Article (4) of the Law shall be punished by one or both of the following:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">A fine not exceeding (five hundred thousand) riyals \u2026\u201d This is in addition to consequential and supplementary penalties.<\/span><\/p>\n<h2><b>How do scholars distinguish between the concealer and the concealed person?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Scholars distinguish between the two parties involved in a commercial concealment crime based on their specific roles in the illegal arrangement and their legal standing:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>The Concealer:<\/b><span style=\"font-weight: 400;\"> This is the natural or legal person who <\/span><b>enables<\/b><span style=\"font-weight: 400;\"> another to engage in a prohibited economic activity. The concealer provides the necessary legal &#8220;cover&#8221; for the operation, such as their name, license, approval, commercial register, or trade name. While the concealer is often a Saudi national, the role can also be filled by a foreigner who holds a license for certain economic activities but allows another party to use it.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>The Concealed Person:<\/b><span style=\"font-weight: 400;\"> This is the party who actually <\/span><b>practices<\/b><span style=\"font-weight: 400;\"> the economic activity that is legally prohibited to them. The prohibition may exist because the activity is unlicensed for that specific individual or is prohibited generally. In practice, the concealed person is typically a <\/span><b>non-Saudi<\/b><span style=\"font-weight: 400;\"> (either an individual or a legal entity) who conducts the business on their own account through the facilitator.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The primary distinction lies in the action: the <\/span><b>concealer provides the means and legal identity<\/b><span style=\"font-weight: 400;\">, while the <\/span><b>concealed person performs the actual business operations<\/b><span style=\"font-weight: 400;\"> for which they are not authorized<\/span><\/p>\n<h2><b>What are the two primary elements required to constitute the crime of commercial concealment?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The crime of commercial concealment is composed of two primary elements: a <\/span><b>material element<\/b><span style=\"font-weight: 400;\"> and a <\/span><b>moral (mental) element<\/b><span style=\"font-weight: 400;\">.<\/span><\/p>\n<ol>\n<li><b> The Material Element<\/b><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">This element involves the physical actions and circumstances of the crime. It is not considered complete without the presence of three specific components:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Enabling:<\/b><span style=\"font-weight: 400;\"> This occurs when a concealer allows a non-Saudi to engage in an economic activity for their own account or allows them to use the concealer&#8217;s name, license, commercial register, or trade name. It can also involve granting a non-Saudi tools that lead to <\/span><b>absolute control<\/b><span style=\"font-weight: 400;\"> over an establishment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Practicing:<\/b><span style=\"font-weight: 400;\"> This component is established when a non-Saudi actually carries out the unlicensed economic activity within the Kingdom through the enabling provided by the concealer.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Absence of License:<\/b><span style=\"font-weight: 400;\"> This refers to the fact that the non-Saudi party does not hold a legal license to practice the activity, or they are using a license that exists only for the concealer.<\/span><\/li>\n<\/ul>\n<ol start=\"2\">\n<li><b> The Moral (Mental) Element<\/b><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">Because commercial concealment is an <\/span><b>intentional crime<\/b><span style=\"font-weight: 400;\">, it requires the presence of general criminal intent. This consists of:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Knowledge:<\/b><span style=\"font-weight: 400;\"> The accused must have known the facts and the nature of the conduct at the time the act was committed.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Will:<\/b><span style=\"font-weight: 400;\"> The individual\u2019s will must have been consciously directed toward performing the illegal act and achieving the criminal result<\/span><\/li>\n<\/ul>\n<h2><b>Overview of The Anti-Commercial Concealment Law<\/b><\/h2>\n<p><b>The text outlines the\u00a0Anti-Commercial Concealment Law\u00a0in Saudi Arabia, a regulatory framework designed to protect the national economy from\u00a0unregulated business practices.
